Need help defining ownership and responsibilities for new restaurant

I was offered an opportunity to be a part of a restaurant. It will offer breakfast, lunch and dinner. I will be responsible(menus,food purchasing, staff, promotions etc.) for the dinner and bar crowd. The "breakfast" person will be putting up the money to get the facality open (aprox. 50M). They also have no experience with the dinner and bar business. That's how I got involved. My question is how should this "restaurant" be set-up. Should it be a partnership (building not for sale). Would I be better off being employeed with benefits and some sort of bonus or profit sharing? I also bring a existing catering operation. Need some help defining the "box".
